Forming an LLC in District of Columbia (“DC”)
DC limited liability companies are formed by filing Articles of Organization with the District of Columbia Department of Consumer and Regulatory Affairs. The entire filing process normally takes 10 business days, with an expedited option available for an extra fee, cutting the processing time to one to two business days.
Name Identifiers and Abbreviations
The name of the DC limited liability company must end with one of the following words or abbreviations:
- Limited Liability Company
- Limited Company
- Ltd. Liability Company
- Ltd. Liability Co.
- Limited Liability Co.
- Ltd. Company
- Ltd. Co.
- Limited Co.
An Operating Agreement helps protect your company’s limited liability status and prevents your company from being run by the default rules created by the state. Although DC does not mandate all LLCs to have an Operating Agreement, it is highly recommended that you have one.
Depending on the nature of your business, some additional filings could be necessary to complete the proper set-up of your LLC:
