Forming an LLC in Massachusetts

The Process

Massachusetts LLCs are formed, on average, in two to three business days. However the state offers expedited filing of one business day for an additional fee.

Name Identifiers and Abbreviations

The name of the Massachusetts limited liability company must end with one of the following words or abbreviations:

• LLC
• L.L.C.
• LC
• L.C.
• Limited Liability Company
• Limited Company

Operating Agreement

An Operating Agreement helps to protect your company’s limited liability status and prevents your company from being run by the default rules created by the state. Although Massachusetts does not mandate all LLCs to have an Operating Agreement, it is highly recommended that you have one.

Additional Filings

Depending on the nature of your business, some additional filings could be necessary to complete the proper set-up of your LLC:

• Sales tax registration
• Payroll registration & business licensing
