What is a Foundation?
In essence, a Foundation is a legal entity that holds and manages assets for a specific purpose or for the benefit of designated beneficiaries. Unlike a trust, a foundation has its own legal personality and can hold property, enter contracts and operate in its own name.
In Belize, foundations operate under the Belize International Foundations Act, which provides a flexible framework for private wealth planning and asset management.
A foundation is typically established by a Founder, who contributes assets to the foundation and defines its purpose in the foundation charter. The assets are then managed by a Foundation Council in accordance with the rules set out in the foundation documents.

Establishing a Foundation
To establish a foundation, a Foundation Charter must be prepared. This document outlines the foundation’s purpose, governance structure, and operational rules.
Once established, assets may be transferred into the foundation, which then becomes the legal owner of those assets.
Depending on the nature of the assets transferred, there may be tax or transfer implications in the jurisdiction where those assets are located.
Management of a Foundation
The Foundation Council manages the foundation’s assets and affairs. Council members have a duty to act in accordance with the foundation’s charter and regulations and in the best interests of its stated purposes or beneficiaries.
